This Non-Disclosure Agreement ("NDA") is entered into between Acme Corporation ("Disclosing Party") and Globex Industries, Inc. ("Receiving Party"), effective as of the date of last signature below. The purpose of this NDA is to protect confidential and proprietary information exchanged between the parties in connection with evaluating a potential business relationship involving joint product development and technology licensing. The Receiving Party acknowledges that the Confidential Information has been developed at considerable time and expense and constitutes valuable trade secrets of the Disclosing Party. The Receiving Party agrees to use the Confidential Information solely for the Purpose described herein and shall not disclose it to any third party without the prior written consent of the Disclosing Party. The Receiving Party shall limit access to Confidential Information to those employees and advisors who have a need to know and who are bound by obligations of confidentiality at least as restrictive as those set forth in this NDA.
