This Vendor Services Agreement ("Agreement") is made between Acme Corporation ("Company") and Initech Ltd ("Vendor") for the provision of cloud infrastructure management, monitoring, and support services. Vendor shall provide the Services in accordance with the Service Level Agreement attached as Exhibit A. The initial term of this Agreement is twenty-four (24) months from the Effective Date, with automatic renewal for successive twelve (12) month periods unless either party provides written notice of non-renewal at least ninety (90) days prior to the end of the then-current term. Vendor represents and warrants that it has the necessary expertise, personnel, and resources to perform the Services in a professional and workmanlike manner consistent with industry standards. Company shall provide Vendor with reasonable access to its systems and facilities as necessary for Vendor to perform the Services, subject to Company's security policies and procedures.
