Standard Contractor Agreement — Intellectual Property. Section 6.1 Work Product Ownership. All Work Product, including without limitation inventions, discoveries, improvements, source code, object code, algorithms, designs, specifications, documentation, databases, data compilations, and any other materials created by Contractor in connection with the Services, shall be the sole and exclusive property of the Company. To the extent that any Work Product constitutes a "work made for hire" under applicable copyright law, it shall be deemed a work made for hire. To the extent any Work Product does not qualify as a work made for hire, Contractor hereby irrevocably assigns to Company all right, title, and interest in and to such Work Product, including all intellectual property rights therein. 6.2 Moral Rights. Contractor irrevocably waives all moral rights in the Work Product to the maximum extent permitted by applicable law. 6.3 Pre-Existing IP. Contractor retains all rights in Pre-Existing IP but grants Company a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable licence to use, reproduce, modify, and distribute any Pre-Existing IP incorporated into the Work Product.
